Terms of Service

These are the rules for using Apibeary (apibeary.com), an invite-only, informational market-signals service operated by Heronward LLC, doing business as Apibeary, a Florida limited liability company. By creating an account or minting an API token you're agreeing to them. They're short on purpose — read them.

1. What Apibeary is — and is not

Apibeary runs automated "scouts" that read public sources — SEC filings, contract awards, Fed language, macro data, market behavior — and turn them into flags with sources and conviction scores.

Everything on Apibeary is information, not advice. Flags are sourced observations. We never tell you to buy, sell, trim, or avoid anything. Apibeary is not a registered investment adviser or broker-dealer, has no fiduciary duty to you, and doesn't know your situation. Decisions — and their outcomes — are yours. If you want advice, talk to someone licensed to give it.

2. No guarantees

Signals can be wrong, late, incomplete, or missing. Sources change and scrapes break. The live signal stream is young (recording since May 2026) and the scout roster changes as we test and learn. Nothing here — including paper track records — predicts future results.

3. Your account

One account per person. You sign in with a one-time link sent to your email or with Google, never a password, so keep that email account secure and give us an address we can reach. You must be at least 18. Accounts are currently created by invitation. You're responsible for what happens under your account. We can suspend or close accounts that break these terms, abuse the service, or jeopardize other members.

Apibeary is offered to residents of the countries listed at signup — currently the United States. Creating an account is your statement that you live in one of them. If we learn an account is held from somewhere we don't serve, we may close it and refund any unused period.

4. Acceptable use

Use the dashboard and API for yourself (or your own bot). Don't: resell or republish the feed, hammer past the API rate limits, probe or attack the service, scrape around the API, or use Apibeary for anything unlawful. API tokens are per-user — minting one means accepting these terms.

5. Market data

Live prices on Apibeary are licensed from Tiingo, Inc. — Market Data from Tiingo.com. You're licensed to read them here. Reselling, redistributing, republishing, or passing that market data to anyone else — including into a service you run for other people — falls outside what the licence allows, ours or yours.

Export is for your own research: take the prices for one ticker, or a few, to check our math or run your own study. Bulk pulls of the price feed, or a mirror of a whole market, are a different thing and stay off-limits.

When your account ends — you close it, or we close it — stop using any market data you exported, and delete it. The licence rides with the account, so it leaves when the account does. If our own licence for this data ever ends, we'll tell you, and the same applies: stop using what you exported and delete it. (That mirrors what our own market-data licence asks of us; we pass those limits through to you.)

6. Brokerage connections

Optional and read-only. We can see what you choose to share so the app can flag your holdings; we cannot trade or move money — the capability doesn't exist here. Handling of that data is covered by the Privacy Policy.

7. Fees and billing

A free account costs nothing. Pro is a monthly subscription at $14.99 / month, billed in advance through Stripe — we never see your card number. It renews automatically every month until you cancel. Taxes, where they apply, are added at checkout. Cancel any time from Settings. Cancelling stops the next renewal and you keep Pro until the end of the period you paid for. If a subscription is cancelled or lapses, the account goes back to free. Nothing is deleted — saved preferences, shortlist and journal are all still there. If you cancel within 14 days of first subscribing, we refund that first payment in full: cancel from Settings, then email help@apibeary.com and we return it to the card you paid with. If we close your account under section 3, we may refund the unused part of any period you paid for. If the price ever changes, existing subscribers get at least 30 days' email notice before a renewal at the new price. Pro subscriptions have not opened yet; until they do, every account is free and nothing is charged.

8. As-is

Apibeary is provided "as is" and "as available," with no warranties of any kind, express or implied — including accuracy, uptime, fitness for a particular purpose, or non-infringement.

Some places don't let a service disclaim everything. If you're a consumer somewhere with non-waivable rights — for example the EU's digital-content conformity rules or the UK Consumer Rights Act — nothing in this section takes those away.

9. Limits on liability

To the fullest extent Florida law allows: we are not liable for trading or investment losses, lost profits, or indirect, incidental, or consequential damages arising from the service or its signals. Our total liability for any claim is capped at the amount you paid us in the twelve months before the claim — which, while Apibeary is free, is zero.

Nothing in this section limits liability that the law where you live doesn't allow us to limit.

10. Leaving

You can close your account anytime (Settings → Close account). That cancels any Pro subscription and deletes your data from our live systems right away; the Privacy Policy says exactly what is erased and what a backup or a payment record keeps for a while. We can terminate accounts as described in section 3.

11. Changes to these terms

We may update these terms; material changes get emailed to account holders. Using Apibeary after a change means you accept the new version.

12. Law and venue

These terms are governed by the laws of the State of Florida, USA, and disputes belong in the state or federal courts located in Florida.

If you're a consumer in the EU or UK, this doesn't take away protections or courts your local law guarantees you.

13. Sanctions

We don't offer Apibeary where U.S. sanctions prohibit it, and you confirm you're not on a U.S. sanctions list.
